Acceptance and eligibility

These Terms of Use ("Terms") are an agreement between you and Nullam LLC, operating as Nullam Properties ("Nullam," "we," "us," or "our"). By checking the Terms box and submitting a form, or by creating or using an authenticated account after these Terms are presented, you agree to the version shown at that time and acknowledge the Privacy Policy. If you do not agree, do not submit a form or use restricted platform features.

Your checkbox or comparable electronic action is your electronic acceptance. You consent to receive these Terms and related platform records electronically and may print or save a copy for your records.

You must be at least 18 years old and have legal capacity to use the submission, registry, and opportunity features. If you act for a company, trust, estate, owner, buyer, or other person, you represent that you have authority to act and to provide the submitted information.

Website Terms are separate from transaction agreements

These Terms govern use of the website and platform workflows only. They are not a purchase contract, listing agreement, assignment, option, loan, financing agreement, investment agreement, title document, escrow instruction, or closing document. Any separately signed transaction agreement controls that transaction and will prevail over these Terms if there is a conflict concerning the transaction.

A form submission, registry enrollment, message, opportunity view, or offer request is not binding unless the appropriate parties complete a separate written agreement that expressly states it is binding.

Nullam's platform role

Nullam is not licensed by the Oklahoma Real Estate Commission as a real estate broker, broker associate, or sales associate and does not provide real estate brokerage services. The website provides intake, review, communication, buyer-profile, and controlled opportunity tools. Website use does not create an agency, brokerage, fiduciary, partnership, joint venture, employment, attorney-client, tax-advisor, financial-advisor, appraisal, inspection, or other professional relationship.

Submitting a property does not list it on an MLS, authorize public marketing, or appoint Nullam to represent the owner. Nullam's role in any transaction—such as prospective purchaser, property owner, equitable-interest holder, assignor, technology provider, or another disclosed role—will be stated in the separate transaction documents. Nothing on the website authorizes Nullam or any user to perform an activity that requires a license without the required license.

Property submissions and contact requests

You must provide materially accurate information and may submit only properties, files, personal information, and documents you are authorized to share. A property submission authorizes Nullam to privately review the information, contact you about the submission, request clarification, and evaluate whether a lawful next step is available. It does not guarantee an offer, price, verification, buyer match, sale, or closing.

Nullam may accept, reject, pause, request clarification for, archive, or remove a submission. You may ask us to stop reviewing an intake, but we may retain records as described in the Privacy Policy or as required for an active agreement, transaction, legal obligation, security matter, or dispute.

Buyer registry and private opportunity access

Buyer registration creates a private profile for review and possible matching. It does not guarantee approval, exclusivity, access to any property, a response, or a transaction. Nullam may request identity, entity, funding, experience, or other information before granting or continuing access.

Any access is limited, revocable, nonexclusive, and personal to the approved user or organization. You may not share credentials, redistribute restricted property information, scrape records, contact an owner outside an approved channel, bypass access controls, or use private information to circumvent Nullam or interfere with an active review or transaction.

User content and limited permission

You retain ownership of information and files you submit. You grant Nullam a nonexclusive, worldwide, royalty-free license to host, copy, organize, review, analyze, and disclose that content only as reasonably needed to operate the requested workflow, secure and improve the services, comply with law, and evaluate or complete a potential transaction. You represent that this permission does not violate another person's rights.

Property information, estimates, and verification

Asking prices, buy-now prices, after-repair values, comparable properties, automated valuations, repair estimates, rents, maps, property facts, condition descriptions, documents, and review labels may come from users, public records, vendors, or internal analysis. They may be incomplete, estimated, delayed, or incorrect.

"Reviewed" or "verified" applies only to the specific item identified. It is not a warranty, appraisal, inspection, title opinion, ownership determination, credit decision, or guarantee of legality, condition, value, profitability, financing, or future performance. Every user is responsible for independent due diligence and qualified legal, tax, financial, title, inspection, lending, and other professional advice.

Offers, financing, and transactions

Prices, availability, terms, and seller decisions may change or be withdrawn. Nullam does not guarantee that an offer will be made, accepted, financed, assigned, or closed.

Website references to cash, seller financing, subject-to structures, creative terms, or other offer types describe possible interests only. The website does not itself extend credit, originate or broker a mortgage loan, promise financing, or determine that a structure is lawful or appropriate. Any such transaction requires separate underwriting, disclosures, approvals, and documents.

Communications

When you request contact, you authorize Nullam to respond about the submission, buyer profile, message, account, or opportunity using the information you supplied. Consent to recurring promotional or automated communications will be requested separately when required and is not a condition of submitting a property or joining the registry. Message and data rates may apply. You may opt out of promotional email, calls, or texts using the provided method; necessary account, security, transaction, or requested-response messages may continue.

No securities offering or investment advice

The website and buyer registry do not offer ownership in Nullam, a pooled fund, a joint venture, or another security. Property information is not a promise of returns or a recommendation to invest. Any future investment offering would require separate written offering materials and legal compliance.

Acceptable use

You may not submit false or unauthorized information; impersonate another person; upload malware or unlawful material; infringe privacy, intellectual-property, fair-housing, contractual, or other rights; discriminate unlawfully; scrape or resell data; probe security; disrupt the services; evade restrictions; use private information for harassment or unsolicited marketing; or use the platform for fraud, deed theft, unlawful lending, unlicensed activity, or another illegal purpose.

Intellectual property

The website design, branding, software, workflow, and original content are owned by or licensed to Nullam and are protected by applicable law. Subject to these Terms, Nullam grants you a limited, revocable, nontransferable right to use the website for its intended purpose. No other license is granted.

Third-party services

The website may link to or rely on maps, calculators, portals, analytics, communication providers, property-data providers, and professional services. Third parties control their own services, content, availability, privacy practices, and terms. A link or technical integration is not an endorsement or guarantee.

Disclaimers and limitation of liability

The website and platform features are provided on an "as is" and "as available" basis to the fullest extent permitted by law. Nullam disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and results, except where a disclaimer is prohibited.

To the fullest extent permitted by law, Nullam and its owners, personnel, contractors, and providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost data, lost opportunity, or reliance on website information. Aggregate liability arising from website or platform use will not exceed the greater of $100 or the amount you paid Nullam specifically for website access during the preceding 12 months. These limits do not exclude liability that cannot lawfully be limited.

Indemnity

You agree to defend, indemnify, and hold harmless Nullam and its owners, personnel, contractors, and providers from third-party claims, losses, and reasonable costs arising from your unauthorized content, unlawful platform use, infringement of another person's rights, or material breach of these Terms, except to the extent caused by Nullam's own unlawful conduct.

Governing law and venue

Oklahoma law governs these Terms without regard to conflict-of-law principles. Unless a separate written transaction agreement states otherwise, any court proceeding concerning website or platform use must be brought in a state or federal court with jurisdiction in Tulsa County, Oklahoma. Before filing, the parties should send written notice describing the dispute and allow 30 days for a good-faith attempt to resolve it, unless emergency relief or a legal deadline requires earlier action.

Suspension, changes, and general terms

Nullam may suspend or terminate access, remove content, or change or discontinue features when reasonably necessary for operations, security, legal compliance, or protection of users. We may update these Terms prospectively. A new version will apply to submissions accepted after its effective date; separately signed transaction agreements remain governed by their own terms.

If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not transfer platform access or these Terms without Nullam's consent; Nullam may assign these Terms with a merger, financing, reorganization, asset transfer, or change of control.
